IAutoDrawSim Software Policies Terms of Service

1. Acceptance of Terms
By installing, accessing or using IAutoDrawSim software and related services (collectively, the "Software"), you agree to be bound by these Terms of Service. If you do not agree, do not install or use the Software.
2. License Types & Usage Rights
IAutoDrawSim is an offline desktop process simulation tool. We grant you a limited, non-exclusive, non-transferable license to use the Software, subject to the license tier you purchase:
2.1 Free Trial License
• Free of charge for evaluation, learning and non-commercial use only.
• Feature limits: up to 80 unit elements, max 50 simulation nodes, no report export, no subsystem support.
• We reserve the right to end or modify the free trial offer at any time.
2.2 Annual Professional Subscription
• $299 per account per year.
• License tied to your user account; you may use the Software on any device, but only one active session per account at a time.
• Includes unlimited nodes & simulation nodes, full subsystem support, Excel & PDF report export, and commercial use rights.
• Valid for 12 months from the date of payment and activation.
• Upon subscription expiry, your subscribed account will be deactivated. There is no automatic renewal. You will need to manually complete payment again if you wish to purchase a new subscription.
2.3 Offline Perpetual License
• $699 one-time payment, node-locked to a single personal computer.
• Lifetime use right for the purchased major version of the Software, fully offline; no network connection required after activation.
• Includes all Professional edition features and commercial use rights.
• The license is permanently bound to the activated device and cannot be transferred to another computer.
2.4 General Permissions
You may:
• Use the Software to create, edit and save your own process simulation models (.iag/.iags files).
• Export reports, diagrams and calculation results for your work or client projects.
• Use the Software for internal business purposes or commercial client deliverables, in accordance with your license tier.
3. User Obligations & Prohibited Conduct
You agree that you will NOT:
• Reverse engineer, decompile, disassemble, crack or modify the Software, or attempt to derive the source code.
• Rent, lease, sell, redistribute, sublicense or share the Software or your license credentials with third parties.
• Remove, alter or obscure any copyright, trademark or other proprietary notices in the Software.
• Use the Software for any illegal purpose, or to create models that infringe on third-party intellectual property rights.
• Use the Software as a substitute for certified engineering design verification in safety-critical applications (including nuclear, medical, aerospace and transportation systems) without independent professional validation.
4. Intellectual Property Rights
• All rights, title and interest in and to the Software (including code, interface design, built-in unit libraries, algorithms and documentation) are owned by IAutoDrawSim.
• You retain full ownership of all process models, data files and work products you create using the Software.
• You grant us the right to use anonymized, non-identifiable feedback and feature suggestions for product improvement.
5. Software Updates & Technical Support 5.1 Version Updates
• Annual Subscription: receives all software version updates (major and minor) during the active subscription period.
• Perpetual License: receives all minor updates and bug fixes for the purchased major version. Future major version upgrades require a separate paid upgrade.
• We do not guarantee that updates will be uninterrupted or error-free.
5.2 Technical Support
• Paid license holders receive email-based technical support for installation, basic operation and bug reporting.
• Support does not include custom process modeling, engineering consulting or on-site training.
6. Payment, Refunds & Billing
• All prices are quoted in US dollars, excluding local sales tax, VAT or import duties, which are your responsibility.
• Subscription fees are charged annually in advance.

Refund Policy: No refunds are available after license activation and delivery, except where required by mandatory applicable law. You are responsible for testing the Software via the Free Trial prior to purchase.
7. Disclaimers
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
IAutoDrawSim specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• The Software is a conceptual design and feasibility study tool. Simulation outputs are for reference only and do not constitute professional engineering advice.
• We do not guarantee the accuracy, completeness or reliability of simulation results. You are solely responsible for validating all design parameters, process safety and regulatory compliance before implementing any engineering solution.
• The Software does not perform real-time production monitoring or control, and is not intended for safety-critical real-time process control.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL IAUTODRAWSIM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL LOSS, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE TOTAL AMOUNT YOU PAID FOR THE SOFTWARE LICENSE IN THE 12 MONTHS PRIOR TO THE CLAIM.
9. Term & Termination
• These Terms take effect upon your acceptance and remain in effect until terminated.
• We may terminate your license immediately if you breach any provision of these Terms. Upon termination, you must cease all use of the Software and delete all copies.
• Termination does not relieve you of any payment obligations accrued prior to termination.
• Perpetual license termination ends your right to use the Software, but does not affect your ownership of models and files you created prior to termination.
10. Data Privacy & Local Storage
• IAutoDrawSim is a fully offline desktop application.
We do not collect, upload or store your project files, process data, or personal usage data to any external server.
• All project files, custom parameters and simulation data remain stored locally on your device. You are solely responsible for data backup and security.
• We do not process or share any personal data beyond what is strictly necessary for payment processing and license activation.
11. General Provisions
• These Terms constitute the entire agreement between you and IAutoDrawSim regarding use of the Software.
• We reserve the right to update these Terms from time to time. Continued use of the Software after changes constitutes acceptance of the updated Terms.
• These Terms shall be governed by the laws of the jurisdiction where the seller is domiciled, without regard to its conflict of law principles.
• If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.
